Unless it was Rare who needed it to avoid bankruptcy or something.
From my understanding the guys that founded Rare wanted to move on to other things so they just sold it to Microsoft. I am not sure if other companies like Nintendo or Sony made any offers and Microsofts was the best offer or what.

Nintendo owned 50% of Rare [the Stamper brothers owned the other 50%], and it was their decision to sell the company to Microsoft.
I heard elsewhere here that it's up to Rare whether to ask Nintendo to re-release games. Microsoft isn't preventing the re-releases, it's just that Nintendo and Rare don't get along right now.

Microsoft owns the rights to all of Rare's original IPs [Conker, Banjo, Perfect Dark, etc.]. These games will never come out on Nintendo platforms, unless Nintendo & Microsoft make a deal and share the profits. Yes I know there were GBA & DS games made by Rare, but that's because Microsoft isn't competing in the handheld market.
@Waveboy: I remember Snake Rattle and Roll. I use to play that game all the time with my brother when we were kids. Alas it will probably never see the VC since it was made by Rare. Darn you Microsoft!!!!
