How does transferring from 3DS to 3DS with the data on the SD Card work, do both 3DSs need to have an SD Card in them or or just an SD Card in the first 3DS and after I'm done transferring just take the SD Card out of the old 3DS and put it in the new 3DS?

Yes, your activity log transfers, and yes, you just have to physically transfer your old SD card to the new 3DS after the transfer. I don't believe you need to have an SD card in the new 3DS while transferring, but I can't say I tried it that way.
ok i have been thinking, does really the vc/dsiware/3dsware saves gets transfered by the System Transfer of did the save get there when you put the sd card from your old 3ds in your new 3ds?
those buyers who want/need to trade in their 3DS to get a 3DS XL will lose everything, right? it doesn't seem fair. if nintendo wants people to upgrade, they should make it as easy as possible.
i really wish nintendo would use a system where the account is linked to the owner and not the hardware. it would be so much nicer for us.
All in-built software data is transferred - that's your saved data for Streetpass Plaza, Mii Maker, Activity Log, Face Raiders, etc
All downloaded '3DSWare' and DSiWare is transferred
Contrary to what the warning before transfer seems to suggest, demos are transferred and they retain the number of remaining uses they had on the source system
Ambassador games are transferred
Your friend code and friends list are transferred
Extra Data, Add-On Content and Streetpass Management data are transferred
Browser settings and bookmarks are transferred
The layout, tile size setting etc of the Home menu is transferred
eShop funds are transferred. If there are existing funds on the target system, they're added together so you don't lose any funds
eShop account is transferred (if there's accounts on both systems, they're combined so that previous downloads of both can be accessed)
Photos, videos and recordings are moved to the SD card if there's room. If there isn't room, they'll be deleted (you get a warning about this and can cancel before it happens though)
Game notes are transferred
Notifications are transferred

Honestly, you'll probably get more money if you sell your old system than trading it in anyway, so as long as cash flow isn't the problem it makes more sense to buy the XL, do the transfer, and then sell your old system on eBay or wherever.

money isn't a problem on this one (what a strange sensation!). i probably will pass my original 3DS to my son. he's interested in 'kid icarus', 'crush 3D' etc. so it will give him options not available on his sony hardware.
i think you are probably right in the 'getting more selling it' than trading it. i do really wish that ninty would link accounts to owners instead of hardware, tho. i don't understand their reluctance to do it.
